SALES AND PURCHASE AGREEMENT
This Sales and Purchase Agreement (the “Agreement”) is made as of [Insert Date] between:
(1) [Buyer Name], incorporated in [Buyer Location], whose registered office is located at [Buyer Address], represented by [Buyer Representative] (the “Buyer”);
(2) Slow Boat Pty Ltd, incorporated in Melbourne under number 59 621 282 175, whose registered office is located at Shop 4, 198 Harbour Esplanade, Docklands, VIC 3008, Australia, represented by [Vendor Name] (the “Vendor”).
Each of the Buyer and the Vendor is individually referred to as a “Party” and collectively as the “Parties.”
1. Definitions
1.1. Products: Refers to [Vendor’s Product Name], including but not limited to eSIMs and SIM cards, as specified in the Trade Note.
1.2. Trade Note: A document issued by the Vendor detailing product specifications, pricing, terms, and conditions.
2. Duration
2.1. This Agreement shall remain in force for one (1) years from [Insert Start Date] (the “Initial Term”).
2.2. Upon expiration, this Agreement shall automatically renew for additional one-year periods, unless either Party provides 30 days’ prior written notice before the expiration date.
3. Products and Orders
3.1. The Vendor agrees to sell, and the Buyer agrees to purchase, the Products under the terms specified in this Agreement.
3.2. The Vendor shall issue Trade Notes detailing product specifics, pricing, ordering terms, payment terms, penalties, and delivery timelines.
3.3. The Buyer shall review and comply with the conditions set forth in the Trade Note.
3.4. The Buyer must pay for the Products, including any applicable fees, before each order is placed.
3.5. Upon receipt of the Products, the Buyer shall inspect them within seven (7) business days. If no claim is made within this period, the Products shall be deemed accepted.
3.6. If a batch defect occurs within the validity period of the Products, the Vendor shall replace the affected Products free of charge.
4. Distribution of Products
4.1. The Vendor retains the right to distribute and sell the Products to other entities without restriction.
5. Buyer’s Obligations
5.1. The Buyer shall be responsible for paying all applicable taxes and fees related to the purchase of the Products.
5.2. The Buyer acknowledges that Slow Boat Pty Ltd only guarantees the face value of the Products and their conformity to the purchase agreement. Any changes in the Product’s service plans, activation process, or features shall be determined solely by the network operator’s official website.
5.3. Slow Boat Pty Ltd shall not be liable for any losses incurred due to changes made by the network operator.
5.4. Once sold, Products are non-refundable and non-exchangeable unless a quality defect is identified.
6. Confidentiality
6.1. The Parties agree to keep confidential all information related to this Agreement for three (3) years following termination.
6.2. Confidentiality obligations do not apply to:

Information already publicly available;

Information known to the Buyer before entering this Agreement;

Information required to be disclosed by law.
7. Representations and Warranties
7.1. Each Party warrants that it is legally authorized to enter into and fulfill the obligations of this Agreement.
7.2. Each Party assures that execution of this Agreement does not violate any applicable laws or third-party agreements.
8. Termination
8.1. Either Party may terminate this Agreement with 30 days’ prior written notice.
8.2. Either Party may terminate immediately if the other Party breaches the Agreement and fails to remedy within 30 daysafter receiving written notice.
8.3. The Vendor may terminate immediately if the Buyer becomes insolvent or unable to fulfill its obligations.
8.4. The Buyer remains bound by this Agreement until all Products purchased prior to termination are sold.
9. Additional Provisions
9.1. Notices shall be sent via email to the designated representatives of each Party.
9.2. In case of conflict between this Agreement and any Trade Note, the Trade Note shall prevail.
9.3. This Agreement supersedes all prior agreements, whether written or oral.
9.4. Amendments must be in writing and signed by both Parties.
9.5. This Agreement shall be governed by the laws of Victoria, Australia. Any disputes shall be resolved in the courts of Victoria, Australia.
